Unless otherwise agreed in writing, all content, code, designs, and deliverables created by KodeNex remain our intellectual property until full payment is received. Upon completion and payment, ownership of the final deliverables transfers to the client, excluding any third-party assets, open-source components, or proprietary tools used in the process.

4. Client Responsibilities

To ensure timely delivery of services, clients agree to provide accurate information, required content, feedback, and approvals within agreed timelines. Delays in client responses may impact project schedules and deliverables.

5. Payment Terms

Payment terms will be specified in the project proposal or invoice. Unless otherwise stated, all payments are due as per agreed milestones. Late payments may result in delays, suspension of services, or additional fees.

6. Third-Party Services

Some projects may involve third-party platforms, plugins, APIs, or hosting services. KodeNex is not responsible for the functionality, security, or policies of these external services, and clients are encouraged to review their respective terms.

7. Termination

Either party may terminate a project or service agreement with written notice if the other party breaches these Terms. Upon termination, clients are responsible for payment of all completed work and outstanding invoices up to the termination date.

8. Limitation of Liability

While we strive to deliver high-quality digital solutions, KodeNex is not liable for indirect, incidental, or consequential damages arising from the use of our services, including but not limited to data loss, business interruption, or third-party issues.

9. Governing Law
